About the Role:
Direct Counsel is representing an Am Law 100 firm seeking a talented Technology Transactions & Licensing Associate with 3 to 5 years of experience to join its San Diego office . This is a hybrid role offering the opportunity to work with cutting-edge startups, growth-stage companies, and global enterprises on a variety of complex transactions, licensing matters, and product launches in fast-evolving tech sectors.
Key Responsibilities:
Advise clients on commercial contracts and licensing agreements involving software, hardware, cloud computing, AI/machine learning, and digital services
Provide strategic product counseling and IP guidance, including in areas such as patents, IT procurement, and supply chain agreements
Draft and negotiate complex technology agreements
Support cross-border transactions and international licensing deals
Advise on data privacy compliance (e.g., CCPA, GDPR) and open source licensing issues
Collaborate with teams on IP aspects of M&A, financing, and post-closing integrations
Required Qualifications:
J.D. from an accredited law school
Active bar membership in good standing
3–5 years of experience in technology transactions, licensing, and IP matters
Strong understanding of commercial contract and intellectual property law
Familiarity with software, cloud services, semiconductors, and digital assets
Knowledge of privacy regulations (e.g., GDPR, CCPA) and open-source licensing
Excellent drafting, negotiation, and communication skills
Ability to thrive in a fast-paced, client-facing environment
Team-oriented and entrepreneurial mindset
Preferred Qualifications:
Technical background (e.g., Computer Science, Electrical Engineering, Bioengineering)
Experience working with clients in high-tech sectors such as AI, cybersecurity, semiconductors, and hardware
Familiarity with cross-border transactions and international licensing
Experience with IP due diligence in M&A and financing deals
Work Environment:
Hybrid schedule based out of the San Diego office
Work with a highly collaborative and well-regarded legal team
Exposure to a wide variety of industries and clients ranging from startups to multinational corporations
